CANCELLATION AND REFUND
★ | If you cancel any bus ticket for any reason, N1 NEXORA E-PAYMENTS PRIVATE LIMITED shall not be liable to refund your payment. In the event of any unforeseen circumstances leading to cancellation of a bus or flight ticket, any refund or compensation will be provided directly by the respective ticketing company. N1 NEXORA E-PAYMENTS PRIVATE LIMITED does not exercise control over cancellations processed by airlines or bus operators. |
★ | For any transaction resulting in ticket cancellation, The Retailer or Super Distributor acknowledges and agrees that N1 NEXORA E-PAYMENTS PRIVATE LIMITED may withhold the cancellation amount as a reserve from the Retailer’s/Super Distributor’s wallet or settlement amount. N1 NEXORA E-PAYMENTS PRIVATE LIMITED reserves the right to debit the cancellation amount, including any associated fees or fines, from the wallet balance, settlement amount, or reserve. |
★ | Refunds, when applicable, will be credited to your wallet, and the credited amount must be utilized within one year from the date of refund. |
TERMS OF AGREEMENT FOR ONLINE PAYMENTS
DEFINITIONS AND INTERPRETATION:
★ | a) “FACILITY PROVIDER” refers to the Internet Payment Gateway provider partnered with N1 NEXORA E-PAYMENTS PRIVATE LIMITED to facilitate online payments via their payment gateway. |
★ | b) “MERCHANT” means the User, Retailer, Distributor, Master Distributor or Super Distributor making payments to N1 NEXORA E-PAYMENTS PRIVATE LIMITED to avail of its services. |


UNDERTAKINGS OF MERCHANT:
★ | 2.1 Not use the Facility for any unlawful activity, fraudulent purpose, or any conduct that may subject N1 NEXORA E-PAYMENTS PRIVATE LIMITED or the payment gateway provider to legal action or investigation. |
★ | 2.2 Use cardholder information solely for transaction completion purposes and not share or sell such information. |
★ | 2.3 Comply with all applicable laws and regulations. |
★ | 2.4 Take full responsibility for resolving cardholder complaints at their own cost. |
★ | 2.5 Provide second-level support for cardholder queries related to Bill Payments. |
CHARGEBACKS:
★ | 3.1 Upon receiving notification of a chargeback from a cardholder, N1 NEXORA E-PAYMENTS PRIVATE LIMITED will promptly notify the Merchant. |
★ | 3.2 The Merchant may submit documents to dispute the chargeback. |
★ | 3.3 If the Merchant fails to provide documents, N1 NEXORA may reverse the chargeback amount. |
★ | 3.4 Chargeback amounts may be withheld from settlements. |
★ | 3.5 Disputed payments must be resolved promptly by the Merchant. |


INDEMNIFICATION
★ | 4.1 The Merchant shall comply with all applicable security practices and procedures as prescribed under the Information Technology Act, 2000, its rules, and/or RBI regulations. The Merchant agrees to indemnify, defend, and hold harmless N1 NEXORA E-PAYMENTS PRIVATE LIMITED and the Payment Gateway Service Provider from any claims, losses, damages, or liabilities arising from any breach or compromise of security due to negligence or failure on the part of the Merchant, its employees, agents, or contractors. |

4.2 The Merchant shall indemnify and hold harmless N1 NEXORA E-PAYMENTS PRIVATE LIMITED

its directors, officers, employees, agents, and representatives, from and against any
and all losses,
damages, costs, expenses (including reasonable attorney’s fees), claims, judgments,
awards,
settlements, and fines arising from:

4.3 The Merchant further undertakes to indemnify and hold harmless N1 NEXORA E-PAYMENTS PRIVATE LIMITED
against all actions, claims, liabilities (including statutory liabilities),
penalties,
demands, costs, damages, losses, or expenses arising from:

★ | 4.4 Upon signing this Agreement, the Merchant agrees that the payment gateway services provided by N1 NEXORA E-PAYMENTS PRIVATE LIMITED will be used to load the wallet for conducting digital financial services on the platform. The Merchant may use Credit Card, Debit Card, Net Banking, or UPI for wallet loading. The Merchant assumes full responsibility for verifying the identity and ownership of the cardholder and agrees to resolve any disputes arising during this process. |
AVAILABILITY OF A PRODUCT OR A SERVICE
★ | While the website and mobile application may be accessible from locations beyond our current areas of operation, we do not imply or represent that N1 NEXORA E-PAYMENTS PRIVATE LIMITED conducts business in those locations, nor do we guarantee the availability of our products or services in any specific state, country, or jurisdiction. The website and mobile application are not specifically targeted to users in any particular geographic region. Advertisers remain solely responsible for sourcing, placing, and managing their advertisements. Any damage or loss to users caused by advertisements is the sole responsibility of the advertiser. |

GOVERNING LAW AND DISPUTE RESOLUTION

India. You consent to the exclusive jurisdiction of the courts located in:

NON-WAIVER

SEVERABILITY
★ | If any provision of this Agreement is deemed unlawful or unenforceable by a competent court, the remaining provisions shall remain in full force and effect, and the unenforceable portion shall be interpreted to reflect the parties’ intent as closely as possible. |

STATUTE OF LIMITATIONS
★ | Any claim or cause of action arising from use of N1 NEXORA E-PAYMENTS PRIVATE LIMITED services must be filed within one (1) month of its occurrence. Failure to do so will permanently bar the claim. |

ENTIRE AGREEMENT
